These Advertising Terms (“Advertising Terms”) govern your use of the JoyR1der advertising portal and any advertising campaign you create, fund or run on JoyR1der. They add to, and form part of, our general Terms & Conditions and Privacy Policy. If there is a conflict on an advertising matter, these Advertising Terms prevail.

JoyR1der and the advertising portal are operated by Conesworth Limited, a company incorporated in New Zealand (company number 1862936), registered office 16 Rautawhiri Road, Helensville 0800, New Zealand, trading as “JoyR1der” (“JoyR1der”, “we”, “us”, “our”). By creating an advertiser account or campaign you (the “Advertiser”) accept these Advertising Terms.
Advertising is for adults and organisations only. You must be at least 18 to open an advertiser account, and you must not target advertising at minors or use JoyR1der to reach individuals in a way designed to identify them. Nothing here excludes rights that cannot be excluded under applicable consumer or fair-trading law.

1. Acceptance & who may advertise

To advertise you must be at least 18 years old, hold an identity-verified JoyR1der account in good standing, and agree to these Advertising Terms. Minors may not open, control or be a member of an advertiser account. If you advertise on behalf of an organisation, you confirm you are authorised to bind that organisation, and “you” includes that organisation.

2. Company accounts & users

You may advertise as an individual or through a company account (an “Advertiser Org”). An Advertiser Org may be a standalone company profile or may be linked to an organisation you own on JoyR1der. Advertiser Orgs support multiple users with roles:

The Owner is responsible for all activity and spend under the Advertiser Org, including the acts of every member and anyone the members allow to use their access. The shared ad wallet and all campaigns belong to the Advertiser Org, not to any individual member; a member who leaves or is removed keeps no claim to the wallet balance or campaigns. You must keep your member list accurate and remove people who no longer need access.

We issue a tax invoice for each wallet top-up. Invoices are numbered sequentially and record the buyer and seller details you provide, the amount, and any applicable tax. Where tax (such as GST/VAT) applies, the displayed price is treated as tax-inclusive and the tax component is shown on the invoice. You are responsible for giving us accurate billing details (legal name, address and any tax identifier) and for your own tax position, including any reverse-charge or self-assessment obligations in your jurisdiction. Card and payment processing is handled by our payment provider; you must be authorised to use the payment method and comply with its terms.

5. Campaigns, bids & budgets

You choose a campaign format, creative, bid (where the format is bid-based), budget and schedule. Bid-based formats clear in an auction: what you actually pay per result is set by the auction and never exceeds your maximum bid. Some formats are reserved or priced per unit (for example per seat or per panel) rather than bid-based. You may edit a campaign’s bid and budget, pause and resume it, or stop it. Editing the creative of a live campaign returns it to review, and delivery pauses until it is approved again.

6. Review & content standards

Every creative is reviewed before it may serve, and we may re-review at any time. We may reject, remove or require changes to any ad, for any reason, at our discretion. Approval is not an endorsement and does not warrant that an ad is lawful. Your ads and landing pages must be truthful, must not be misleading or deceptive, and must comply with all applicable law and advertising codes. You must not advertise, without limitation: content unlawful in a place it is served; content that is sexual, exploitative of minors, or 18+ content targeted at or visible to minors; hate, harassment, or violence; weapons, illegal drugs, or regulated goods you are not licensed to sell; scams, malware, deceptive “clickbait”, or counterfeit goods; or anything that infringes another’s rights. Regulated categories (such as alcohol, gambling, financial or health products) require that you hold all necessary licences and comply with all category rules, and we may prohibit them entirely.

8. Delivery, measurement & no guarantee

We aim to deliver your campaigns as configured, but we do not guarantee any level of delivery, impressions, clicks, leads, views, seats, conversions, placement, or results, or that delivery will be free of technical faults. Our measurement and reporting (including impressions, clicks, leads, completed views and spend) are the definitive record for billing, and you agree to rely on our figures. We use reasonable measures to detect and filter invalid or fraudulent activity, and we may adjust or withhold reporting and charges we believe reflect such activity.

9. Spend, holds & refunds

Delivered advertising is generally non-refundable. When a campaign ends or is stopped, the unspent held amount is released to your wallet automatically. Genuinely unspent, unheld wallet funds may be refunded where required by law or at our discretion; we may deduct amounts you owe us and any irrecoverable processing fees. We may issue account credit instead of a cash refund where lawful. We do not pay out or refund amounts to any third party (for example, a rival claimant) as a result of a copyright or other complaint against your ad.

10. Your warranties

You warrant that: you have the authority and all rights, licences and consents needed for your ads, targeting, creatives, trade marks, landing pages and the goods or services promoted; your ads and their destinations comply with all applicable law; the information you give us (including billing and identity details) is accurate; and you will not interfere with, defraud, or manipulate the auction, delivery, or measurement (including by generating invalid impressions, clicks, leads or views, or by inducing others to do so).

11. Content licence & IP

You keep ownership of your creatives and marks. You grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, adapt for formatting, distribute and display your creatives for the purpose of operating, delivering and reporting on your campaigns, and to keep records as required. You must not use our names, logos or marks except as the portal allows, and must not imply endorsement by JoyR1der.

12. Data & privacy

Our handling of personal data is described in our Privacy Policy. Where you supply or receive any personal data in connection with advertising, you must comply with all applicable data-protection law and have a lawful basis to do so. You must not upload personal data to us for targeting except through features we expressly provide, and you must not attempt to combine our reporting with other data to identify an individual.

13. Suspension & termination

We may pause, reject, remove, suspend or terminate any ad, campaign, advertiser account or Advertiser Org, and may withhold or reverse spend, if we believe you have breached these Advertising Terms or the general Terms, created legal or safety risk, or engaged in invalid or fraudulent activity. Where practical and lawful we will tell you why. You may stop your campaigns and close your account at any time; unspent, unheld funds are handled under §9.

14. Disclaimers & liability

To the extent permitted by law, the advertising services are provided “as is” and “as available”, and we exclude all implied warranties. To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill, or anticipated savings, arising from advertising with us. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to your advertising in any 12-month period is limited to the amount of ad spend you actually paid us and that we retained for the campaign(s) giving rise to the claim in that period. Nothing in these Advertising Terms limits liability that cannot lawfully be limited, or your non-excludable rights under laws such as the New Zealand Consumer Guarantees Act 1993 and Fair Trading Act 1986 (noting that advertising services acquired for a business may be contracted out of those Acts where the law allows).

15. Indemnity

You will indemnify and hold harmless JoyR1der and Conesworth Limited, and our officers, employees and agents, from and against any claim, loss, liability, cost and expense (including reasonable legal fees) arising from your ads, creatives, targeting, landing pages, goods or services, your breach of these Advertising Terms, or your infringement of any law or third-party right.

16. Governing law

These Advertising Terms are governed by the laws of New Zealand, and you submit to the non-exclusive jurisdiction of the New Zealand courts, without limiting any mandatory rights you have under the law of your own country of residence.

17. Changes

We may update these Advertising Terms from time to time. Material changes take effect prospectively; your continued advertising after a change takes effect means you accept the updated Advertising Terms. The version and effective date are shown at the top of this page.
